These Terms of Service ("Terms") govern your access to and use of the DeepNest platform, website, and related services (collectively, "Service") provided by DeepNest, Friedrichstrasse 68, Berlin 10117, Germany. By using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old, have the authority to agree to these Terms, and agree to comply with all applicable laws and regulations.

2. Description of Service

DeepNest provides an AI-powered code generation platform that assists developers with autocomplete, test generation, refactoring, documentation, and CI/CD integration. Features vary by subscription tier as described on our Pricing page.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at hello@deepnest-ai.com if you suspect unauthorized access.

4. Subscription and Billing

Paid plans are billed monthly or annually depending on your selection. Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time from your account settings. No refunds are provided for unused portions of a billing period.

5. Acceptable Use

You agree not to:

• Use the Service to generate malicious code, malware, or harmful software
• Attempt to reverse-engineer, decompile, or extract the underlying AI model
• Resell or sublicense access to the Service without written permission
• Use the Service in violation of any applicable law or third-party rights
• Overload or disrupt the Service infrastructure through automated scraping or abuse

6. Intellectual Property

Code generated by DeepNest based on your input is yours to use, subject to these Terms. DeepNest retains all rights to the underlying AI models, platform, and infrastructure. The DeepNest name, logo, and trademarks may not be used without prior written permission.

7. Data and Privacy

Use of the Service is also governed by our Privacy Policy. By default, code submitted to DeepNest is used only to generate completions for you and is not used to train our models without your explicit opt-in consent.

8. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, express or implied. We do not warrant that generated code will be error-free, secure, or fit for any particular purpose. You are responsible for reviewing and testing all AI-generated output before use in production.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DeepNest shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, even if advised of the possibility of such damages. Our total liability to you shall not exceed the amount paid by you in the twelve months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service if you violate these Terms. You may terminate your account at any time. Upon termination, your right to use the Service ceases immediately.

11. Governing Law

These Terms are governed by the laws of Germany. Any disputes shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.

12. Changes to Terms

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
